Francine,
As the current con-chair and a board member of Penguicon, I have a
unique view on what we are trying to accomplish. To be honest I don't
really understand what you are concerned about. In regards to other
conventions, one that I am familiar with is Confusion. It has a
board, bylaws, and is a non-profit corporation, just like Penguicon.
The idea of having bylaws is to specifically demark board and
convention rights and responsibilities. To ensure that down the road
the original vision of the founders is represented, and that there are
at least guidelines to follow. We're not talking about creating the
US legal code here, but there are things that we are legally required
to do.
My recommendation is that if you have concerns about the structure of
the bylaws rewrite, that you should become part of the committee so
that you can have influence on the resulting document.
